The “big” company law reform in Switzerland – An overview

With the revision, the Swiss legislator is taking an important step towards modernising company law.

Among other things, the revision creates more flexibility in the capital structure and with regard to dividend distributions. In addition, the thresholds for the exercise of minority shareholders’ rights are lowered and important adjustments are made to the reorganisation law. Finally, the original form of the general meeting is modernised and the use of digital technologies is permitted.
